NeuraNPC provides an AI-powered NPC engine for game developers, enabling dynamic character personalities, contextual memory, and natural dialogue generation through our API and SDK.

3. Account Registration

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your API keys and credentials
• You must be at least 18 years old or have parental consent to use our services
• One account per person or entity; you may not share accounts
• You are responsible for all activities under your account

4. Acceptable Use Policy

4.1 Permitted Uses

You may use NeuraNPC to:

• Create NPCs for legitimate game development projects
• Test and evaluate our services within plan limits
• Integrate our API into your applications

4.2 Prohibited Uses

You may NOT:

• Use our services for illegal, harmful, or fraudulent purposes
• Generate content that is hateful, violent, sexually explicit, or otherwise offensive
• Attempt to reverse engineer, decompile, or extract our AI models
• Exceed rate limits or abuse our infrastructure
• Share or resell API access without authorization
• Use automated scripts to scrape or misuse our services
• Bypass or circumvent any security features or usage restrictions

5. Pricing and Payment

• Pricing is as stated on our website and subject to change with 30 days' notice
• Subscription fees are billed in advance on a monthly or annual basis
• Usage-based charges (tokens, API calls) are billed at the end of each billing cycle
• All fees are non-refundable unless otherwise stated
• You authorize us to charge your payment method for all fees incurred
• Failure to pay may result in service suspension or termination

6. API Usage and Limits

• Each plan includes specified token limits and rate limits
• Exceeding limits may result in overage charges or throttling
• We reserve the right to adjust limits to ensure fair usage
• API availability is subject to our Service Level Agreement (SLA)

7. Intellectual Property

7.1 Our IP

NeuraNPC retains all rights to our technology, AI models, documentation, and branding. You receive a limited, non-exclusive, non-transferable license to use our services.

7.2 Your Content

You retain ownership of content you input into our services. By using our services, you grant us a license to process your content solely to provide and improve our services.

7.3 Generated Content

You own the NPC dialogue and outputs generated through our API, subject to these Terms. We do not claim ownership of your game or application.

8. Service Availability

• We strive for 99.9% uptime but do not guarantee uninterrupted service
• Maintenance windows will be announced in advance when possible
• We are not liable for downtime caused by third-party providers or force majeure
• Beta features are provided "as-is" without warranties

9. Data and Privacy

Your use of our services is also governed by our Privacy Policy. We process data in accordance with applicable privacy laws.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURANPC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold NeuraNPC harmless from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of third-party rights.

13. Termination

• You may cancel your account at any time through your account settings
• We may suspend or terminate your account for violations of these Terms
• Upon termination, your access to our services will cease immediately
• Data retention after termination is governed by our Privacy Policy

14. Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or through our service. Continued use after modifications constitutes acceptance.

15. Governing Law

These Terms are governed by applicable laws. Any disputes shall be resolved through binding arbitration.
